Terms of Service

These Terms of Service ("Terms") govern the professional services provided by Auto Dev Labs ("we", "us", "our") — a registered Kenyan IT agency — to its business clients ("Client", "you"). By signing a Statement of Work, purchasing a plan on our website or otherwise engaging our services, you accept these Terms in full.

1. Services

We provide corporate Web Development, Cloud Services and IT Consultancy as described on our website and detailed in the signed Statement of Work (SOW). The SOW is the authoritative description of scope, deliverables, milestones and fees for the specific engagement.

2. Service Delivery Timelines

Unless otherwise agreed in writing, our standard delivery windows are:

  • Starter Web: up to three (3) weeks from receipt of client content.
  • Business Cloud: initial migration completed within six (6) weeks; ongoing maintenance is monthly.
  • Enterprise IT: milestone plan defined in the SOW, typically eight (8) to sixteen (16) weeks.

Delays caused by late client feedback, incomplete content or third-party dependencies pause the timeline until the blocker is resolved.

3. Provider Obligations

  • Assign a named project manager and technical lead for the engagement.
  • Deliver each milestone in accordance with the SOW and applicable industry standards.
  • Maintain confidentiality of all client information and business data.
  • Handle personal data in line with our Privacy Policy and the Kenya Data Protection Act.

4. Client Obligations

  • Provide accurate business information, content, brand assets and stakeholder feedback within agreed timelines.
  • Nominate a single point of contact authorised to approve deliverables and milestones.
  • Settle invoices in accordance with Section 6.
  • Use the delivered services only for lawful business purposes.

5. Acceptable Use

You may not use our services, deliverables or infrastructure to engage in identity theft, unauthorised access to third-party systems, fraudulent registrations, transmission of unlawful content, or any activity prohibited by the laws of Kenya or of the jurisdiction in which the service is consumed. We reserve the right to suspend or terminate an engagement immediately, and without refund, where we reasonably believe the services are being misused.

6. Fees and Payment

Fees are quoted in United States Dollars and, where required, invoiced in Kenyan Shillings at the prevailing Central Bank of Kenya exchange rate. Invoices fall due within fourteen (14) days. Overdue amounts accrue interest at 2% per month. Refunds and cancellations are governed by our Refund & Cancellation Policy.

7. Intellectual Property

On full payment of the agreed fees, the Client owns the custom source code, design assets and content produced specifically for the engagement. We retain ownership of our pre-existing tools, libraries and know-how, and grant the Client a perpetual, royalty-free licence to use them as embedded in the deliverables.

8. Confidentiality

Each party will keep the other's non-public information confidential and use it only for the purpose of performing this engagement. This obligation survives termination of the engagement for a period of three (3) years.

9. Warranties and Liability

We warrant that the services will be performed with reasonable skill and care. To the maximum extent permitted by law, our aggregate liability under any engagement is limited to the fees paid by the Client for that engagement in the three (3) months preceding the event giving rise to the claim. Neither party is liable for indirect or consequential losses.

10. Termination

Either party may terminate for material breach that remains uncured for thirty (30) days after written notice. We may terminate immediately for breach of Section 5 or for non-payment beyond thirty (30) days. Termination triggers the milestone-based refund mechanics set out in our Refund & Cancellation Policy.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. The courts of Nairobi have exclusive jurisdiction over any dispute arising from or in connection with these Terms or the services provided under them.
